Shipmajor Logistics Application – Terms of Use

Please read these Terms of Use (“Terms”) carefully before using the Shipmajor Logistics Application (“Shipmajor”, “we”, “us”, or “our”). By accessing or using our software and services, you (“you”, “your company”, or “User”) agree to be bound by these Terms.

1. Acceptance of Terms

By using the Shipmajor Application, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you must not use the service.

2. Description of the Shipmajor Service

Shipmajor provides third-party logistics software to shipping and exporting companies to manage cargo and communicate shipment statuses to their customers. Shipmajor does not offer logistics or freight services directly.

Shipmajor’s platform allows Users to:

  • Record sender and receiver information
  • Store cargo details (description, weight, quantity)
  • Notify clients via SMS and WhatsApp of shipment statuses
  • Record payments made for shipments and adjust rejected payments
  • Enable third-party payment integrations (e.g., Square, PayPal) for accepting payments
  • Provide an API for Users to integrate cargo tracking and payment options on their own websites

Additionally, Shipmajor offers the ability for companies to transfer cargo between companies within the Shipmajor network. When cargo is transferred, the privacy of the transferring company’s customer is a top priority, and their information is kept confidential from the receiving company.

3. Pricing & Subscription

Shipmajor charges shipping and exporting companies a monthly subscription fee for using the platform. The fee varies based on the services the company requests. These services are tailored to the company’s specific needs, and the price is agreed upon before a contract is signed.

  • Unlimited Agent Accounts: We offer unlimited free agent accounts for companies representing shipping/exporting companies on the receiving end of the cargo. Every cargo entry must be assigned to an agent account.
  • Limited User Accounts: The number of user accounts within a company is dependent on the subscription plan chosen. The more services requested, the higher the fee.

Fees and charges are not displayed publicly and will be disclosed during the negotiation process.

4. User Responsibilities

As a User of Shipmajor, you are responsible for:

  • Obtaining appropriate consent from your customers before inputting or contacting them using our Application
  • Complying with all applicable laws and regulations, including data protection and messaging laws
  • Ensuring that messages sent through Shipmajor are business-related and relevant to cargo tracking only
  • Setting up and maintaining third-party payment acceptance systems (e.g., PayPal, Square) via Shipmajor’s payment gateway integration

Shipmajor does not verify or control how Users interact with their customers.

5. Payment Processing & Adjustments

Shipmajor allows Users to record payments for shipments, including third-party payment processing integrations (e.g., Square and PayPal). Users are responsible for setting up and managing their own third-party payment accounts.

  • Payment Adjustments: Shipmajor allows adjustments to payments that have been rejected, enabling Users to update payment statuses accordingly.
  • Third-Party Payment Integration: Shipmajor facilitates payment acceptance through integrated services like Square and PayPal. However, Users must independently set up these accounts and maintain their payment gateways through Shipmajor’s platform.

Shipmajor does not process or store payment information directly, nor are we responsible for any payment issues related to third-party providers.

6. User API Integration

Shipmajor offers an API that allows Users to integrate cargo tracking and payment capabilities into their own websites. By using the API, you can:

  • Display real-time shipment tracking statuses on your website.
  • Accept payments for shipments directly from your website via integrated third-party payment services like Square and PayPal.

Users are responsible for integrating and maintaining the API and ensuring compliance with all applicable data protection and payment regulations.

7. Customer Data & Privacy

Shipmajor understands the importance of protecting customer data. Users may input personal information about their customers (e.g., name, address, phone number, email). Shipmajor:

  • Does not sell, rent, or share this data with any third parties.
  • Uses customer information solely for the purpose of enabling logistics notifications via the App.
  • Will not contact customers unless explicitly triggered by a User’s action.

Shipmajor places a high priority on privacy. Cargo transfer between companies within the Shipmajor network will ensure that the transferring company’s customer information remains confidential from the receiving company.

8. Messaging Services (SMS & WhatsApp)

Shipmajor facilitates communication through third-party messaging services (e.g., SMS, WhatsApp). Message content is controlled by the User.

  • End customers may incur message or data fees based on their mobile carrier. Users must inform customers accordingly and manage opt-out requests directly.
  • Shipmajor is not liable for message delivery issues or fees incurred by recipients.

9. Restrictions on Use

You may not:

  • Use the App to send spam, marketing, or unrelated communications
  • Misuse or reverse-engineer any part of the platform
  • Allow unauthorized access to the system or impersonate other users
  • Transfer or share cargo in a way that violates these Terms or applicable laws

10. Intellectual Property

Shipmajor retains all rights, title, and interest in and to the Application, its codebase, design, trademarks, and content. You may not copy, modify, or distribute the App without our written consent.

11. Disclaimer of Warranties

The Shipmajor Application is provided “as is” and “as available.” We do not warrant that the App will be error-free, uninterrupted, or suitable for every use case.

12. Limitation of Liability

To the maximum extent permitted by law, Shipmajor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or reputation.

13. Termination

We reserve the right to suspend or terminate access to the Application if a User violates these Terms or engages in abuse, misuse, or illegal activity.

14. Governing Law

These Terms are governed by the laws of the State of Florida. Disputes shall be resolved in the courts of Florida.

15. Company Logos and Branding

As part of the Shipmajor service, Users may choose to upload their company logo to their account. This logo will be used on official documents such as Bill of Ladings and cargo labels that the User prints and provides to their customers.

By uploading your logo, you represent and warrant that:

  • You have the right to use the logo and that it does not infringe any intellectual property rights of third parties.
  • You grant Shipmajor a limited, non-exclusive, revocable license to use, display, and reproduce the logo solely for the purpose of generating Bill of Ladings and cargo labels as part of your Shipmajor account.
  • You are solely responsible for the content, legality, and appropriateness of your logo. Shipmajor is not liable for any claims or disputes arising from the use of your logo.

16. Support & Maintenance

Support: Shipmajor provides customer support via email at [email protected] for technical and operational assistance.

Maintenance: Scheduled maintenance and downtime may occur from time to time. Shipmajor will make reasonable efforts to notify Users in advance of any scheduled maintenance.

17. Account Security

Users are responsible for maintaining the confidentiality of their login credentials (username and password). You agree to immediately notify Shipmajor of any unauthorized use or security breach of your account. Shipmajor is not liable for any unauthorized access or loss of data arising from the failure to maintain secure account credentials.

18. Indemnification

You agree to indemnify, defend, and hold harmless Shipmajor, its officers, employees, affiliates, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Application, your violation of these Terms, or your violation of any rights of third parties.

19. Modifications to Terms

Shipmajor reserves the right to update or modify these Terms at any time. Any changes will be posted on the Shipmajor website with an updated Effective Date. Continued use of the service after such changes constitutes acceptance of the revised Terms.

20. Language and Precedence of English Version

In the event that these Terms of Use are translated into any other language, the English version shall prevail in case of any conflict or inconsistency between the translated version and the English version. All interpretations of these Terms shall be made in accordance with the English text.
